Terms of Service
These terms are a binding agreement between you and the operator of PhoneBridge. They govern the website, the hosted relay at phonebridge.co, the PhoneBridge Android app and any related software. Please read them: they limit our liability and make you responsible for everything your phone sends, dials or does through the Service.
1. Acceptance
By visiting phonebridge.co, creating an account, installing or running the PhoneBridge app, pairing a phone, generating a key, connecting an MCP client or otherwise using any part of the Service, you agree to these Terms of Service (the Terms). If you do not agree, do not use the Service.
If you use the Service on behalf of a company or other entity, you represent that you are authorised to bind that entity, and "you" means both you and that entity.
We may update these Terms. The current version is always at phonebridge.co/terms with its effective date at the top. Material changes will be announced on the account dashboard or by email to the address on your account. Continuing to use the Service after a change takes effect means you accept the revised Terms.
2. The Service
"PhoneBridge" or the "Service" means, together: the website at phonebridge.co; the hosted relay, account dashboard, OAuth endpoints and MCP endpoint we operate at that domain (the Hosted Relay); the PhoneBridge Android application (the App); the published documentation; and the open-source software that implements them.
The Service lets an AI assistant or other MCP client that you connect read and send SMS, place and manage calls, read call logs and contacts, and query device status on an Android phone that you own or control. The Hosted Relay authenticates clients and phones and forwards requests and responses between them. It does not read, interpret, store or act on message content. All decisions to send, dial, answer, reject or disclose are made on the phone, under policy that you configure in the App.
The Service is a tool. We do not provide telecommunications services, do not carry voice or SMS traffic, are not a party to any message or call, and have no knowledge of or control over what your assistant asks for or what your phone does in response.
3. Eligibility and accounts
- You must be at least 18 years old and legally able to enter into a contract.
- You may only pair phones, SIMs and phone numbers that you own, or that you are expressly authorised by the owner and the account holder with the carrier to control in this way.
- Sign-in is by one-time email link. You are responsible for the security of that email account. Anyone who can read your email can sign in as you.
- You are responsible for every action taken through your account, your keys, your OAuth grants and your paired phones, whether or not you authorised that particular action, until you revoke the relevant key or phone in the dashboard or the App.
- Provide accurate information and keep it current. We may refuse, suspend or close any account at our discretion.
4. Your phone, your messages, your calls
Every SMS sent, every call placed, answered, rejected or hung up, and every contact added or read through the Service is your SMS, call or contact. You are the sender and the caller. You are solely responsible for:
- the content, legality, accuracy and consequences of every message and call;
- carrier charges, including international, roaming, premium-rate and per-message charges, and any plan overages;
- compliance with every law that applies to you and to your recipients, including anti-spam and electronic marketing law (for example the Unsolicited Electronic Messages Act 2007 in New Zealand, the Spam Act in Australia, the TCPA and CAN-SPAM Act in the United States, and the GDPR and ePrivacy rules in Europe), telecommunications and recording law, privacy and data-protection law, consumer-protection law, and the terms of your carrier;
- obtaining any consent required before messaging, calling or storing information about another person;
- the policy you configure in the App, including which numbers are allowed without confirmation, rate limits, and whether premium-rate or foreign numbers are permitted;
- keeping your phone charged, connected, updated and physically secure.
The App's confirm-on-phone, contact-only, rate-limit and audit-log features are safeguards you control. They are provided to help you, not as a guarantee that nothing unwanted will ever be sent or dialled.
5. Automated and AI-driven use
The Service is designed to be driven by large language models and other automated agents. You acknowledge and accept that:
- AI assistants can misunderstand instructions, hallucinate, act on content they were not meant to act on, repeat actions, or take actions you did not intend;
- incoming SMS, caller IDs and contact names are untrusted third-party content and may contain text crafted to manipulate an assistant (prompt injection). The Service marks such content as untrusted, but it cannot prevent an assistant from following it;
- an assistant acting through your phone acts as you. Messages it sends and calls it places are attributed to you and your number, and we have no way to recall them;
- you are responsible for choosing, configuring and supervising any assistant or client you connect, including its model, system prompt and permissions, and for reviewing the audit log in the App.
We are not the provider of any AI model or assistant and are not responsible for its behaviour.
6. Acceptable use
You must not use, or allow anyone to use, the Service to:
- send unsolicited, bulk, marketing or automated messages, or make unsolicited or automated calls, to people who have not clearly consented;
- harass, threaten, defraud, impersonate, stalk, intimidate or deceive anyone, or send unlawful, infringing, obscene or hateful content;
- intercept, read or control messages, calls or contacts on a device or number you do not own or are not expressly authorised to control, or monitor another person without their knowledge and lawful consent;
- evade spam filters, spoof identities, perform SIM-farming, grey-route traffic, send A2P traffic over consumer plans in breach of carrier terms, or resell messaging or calling capacity;
- break any law, carrier term or third-party term, including those of Anthropic, Google, Apple or your mobile carrier;
- probe, scan, overload, disrupt, reverse-engineer the hosted infrastructure, bypass authentication, rate limits or plan limits, or share one account across people or organisations;
- use the Service for anything where failure could cause death, injury, or serious property or environmental damage, including emergency calling, medical alerts, life-support, safety systems or any use requiring guaranteed delivery.
We may investigate suspected breaches and may suspend or terminate access without notice. We may cooperate with carriers, regulators and law enforcement where we believe in good faith we are required or permitted to.
7. Third-party services
The Service depends on things we do not control: your mobile carrier and network, the Android operating system and your device manufacturer, your AI provider (for example Anthropic's Claude, claude.ai, Claude Desktop or Claude Code), your email provider, our payment processor (Stripe), our hosting provider, and the internet between them. Their availability, behaviour, pricing and terms are theirs. We are not responsible for them, and your use of them is governed by their own terms and privacy policies.
Links to third-party sites or software are provided for convenience and are not endorsements.
8. Software and open source
The App and relay source code are released under the MIT License. The MIT License governs the code itself; these Terms govern the Hosted Relay, the website and your use of the App against the Hosted Relay. Where they conflict regarding the hosted Service, these Terms prevail.
The App is distributed as a directly installed Android package outside of Google Play. You are responsible for verifying the signature as described in the documentation, for any warnings your device displays, and for the permissions you grant it. Install it only on devices you own or control.
Any copy of the software that is modified, or that is operated by anyone other than us, is not part of the Service. We provide no support, service level, security guarantee or liability for such copies, and sections 14 to 16 apply to the software itself to the maximum extent permitted by law.
9. Fees, billing and refunds
- The Hosted Relay is a paid subscription at the price shown on the pricing section at the time you subscribe. Prices are in New Zealand dollars and, unless stated, exclude any applicable taxes, which you are responsible for.
- Subscriptions are billed in advance, monthly, through Stripe, and renew automatically until cancelled. You authorise recurring charges to your payment method.
- You may cancel at any time from the account dashboard or the Stripe billing portal. Cancellation takes effect at the end of the current billing period. Fees are non-refundable, including for partial periods, unused capacity, downtime, or termination of your account for breach, except where the law requires a refund.
- If a payment fails or is reversed, we may restrict or suspend the Hosted Relay for your account. Paired phones and keys are kept and resume when payment is restored, but we may delete inactive accounts after a reasonable period.
- We may change prices or plan limits with at least 30 days' notice by email or on the dashboard. Changes apply from your next renewal after the notice period.
- Carrier charges are never included in our fees and are entirely between you and your carrier.
10. Availability and changes
We aim to keep the Hosted Relay running but offer no uptime guarantee or service level. The Service may be unavailable, slow or behave unexpectedly because of maintenance, outages, attacks, capacity, your phone's network or battery state, Android background restrictions, carrier behaviour, or the actions of third parties. Delivery of any message, call, event or notification is not guaranteed.
We may change, limit, suspend or discontinue any feature, tool, protocol version or the whole Service at any time. Where practical we will give notice of discontinuation, and where you have prepaid for a period that is affected we will refund the unused portion as your sole remedy.
11. Privacy and data
The design of the Service keeps your content on your phone and in transit only. Specifically:
- Message and call content is never stored by the Hosted Relay. SMS bodies, phone numbers in tool calls, contact details, call state and device status pass through the relay encrypted in transit and are forwarded without being persisted, indexed or inspected beyond the two fields needed to route them (the tool name and timeout).
- What we do store for your account: your email address; the plan and subscription status; Stripe customer and subscription identifiers (we never see your card number); for each paired phone, a name you choose, its public key and timestamps; for each key or OAuth grant, a name, a hash of the secret, the client identifier and timestamps; pending sign-in codes, hashed, until they expire; and short-lived operational logs (IP addresses, request paths, status codes and errors) for security and debugging.
- On your phone, the App keeps its own key, policy, pairing and an audit log of tool calls. That data is under your control and is removed when you uninstall the App or clear its data.
- We use your email only to sign you in, to send account, billing and security notices, and to tell you about material changes to the Service or these Terms. We do not sell personal information.
- We share data only with the processors needed to run the Service (hosting, email delivery, Stripe), when required by law, or to protect the Service and its users.
- You may ask us to export or delete your account data. Deleting your account revokes all keys and unpairs all phones. Some records may be retained where the law or legitimate dispute-resolution needs require it.
- We handle personal information in accordance with the New Zealand Privacy Act 2020. Data may be processed on servers outside your country.
You are the controller of any personal information about other people (contacts, message recipients, callers) that passes through the Service, and you are responsible for your legal basis to handle it.
12. Security and keys
The Service is built so that a stolen key or a compromised relay cannot silently send or dial: the phone verifies and decides. That design still depends on you. Keep your keys, OAuth grants and sign-in email secure; revoke anything you no longer use; keep the App and Android updated; and lock your phone. If you believe a key, phone or account has been compromised, revoke it immediately in the dashboard or the App and tell us. We are not liable for loss arising from your failure to secure your email, phone, keys or MCP client.
If you find a security vulnerability, please report it to us privately before disclosing it and give us reasonable time to fix it. Do not test against accounts or phones that are not yours.
13. Intellectual property and feedback
The PhoneBridge name, logo, website design, documentation and the Hosted Relay are owned by us or our licensors. Except for the open-source code under its licence, nothing in these Terms gives you any right to use our names or marks without written permission.
You keep all rights to your content. You grant us only the limited right to transmit it as needed to operate the Service. Any suggestions, bug reports or feedback you give us may be used by us freely and without obligation to you.
14. Disclaimer of warranties
To the maximum extent permitted by law, the Service, the App, the software and the documentation are provided "as is" and "as available", with all faults and without warranty of any kind. We expressly disclaim all warranties and conditions, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, and any warranties arising from course of dealing or usage of trade.
Without limiting the above, we do not warrant that the Service will be uninterrupted, timely, secure or error-free; that any message will be sent or received, or any call connected; that any AI assistant will act as you intend; that the Service will be compatible with any phone, carrier, Android version or client; that defects will be corrected; or that the Service is free of harmful components. No advice or information, whether oral or written, obtained from us or through the Service creates any warranty not expressly stated here.
15. Limitation of liability
To the maximum extent permitted by law, in no event will we, our owners, directors, employees, contractors, suppliers or licensors be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, data, use, or anticipated savings, or for the cost of substitute services, or for any personal injury, property damage, carrier charges, fines, penalties or regulatory action, or for any loss caused by messages sent, calls made, or information disclosed through the Service (whether by you, your AI assistant, a third party or anyone else), however caused and under any theory of liability (contract, tort including negligence, statute or otherwise), even if we were advised of the possibility of such loss.
Our total aggregate liability to you for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the fees you paid us for the Hosted Relay in the three months before the event giving rise to the claim, or (b) NZ$50. For free, trial and unpaid use, our total liability is NZ$0 to the extent the law allows.
These limitations are fundamental elements of the bargain between us: the Service would not be offered at this price without them. They apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain exclusions; in those jurisdictions our liability is limited to the smallest extent the law permits. See section 18 for consumer rights.
16. Indemnity
You will defend, indemnify and hold harmless us and our owners, directors, employees, contractors, suppliers and licensors from and against all claims, demands, proceedings, losses, damages, liabilities, fines, penalties, costs and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service or anything done through your account, keys, phones or assistant; (b) any message sent, call made or data accessed through your phone; (c) your breach of these Terms, any law, or any carrier or third-party term; (d) any claim by a recipient, caller, contact, carrier, regulator or other third party relating to your use; or (e) any dispute between you and the owner of a phone, number or email account you used. We may take over the defence of any such claim at your expense, and you will cooperate.
17. Suspension and termination
You may stop using the Service and close your account at any time from the dashboard. We may suspend or terminate your access to all or part of the Service at any time, with or without notice, if we believe you have breached these Terms or any law, if required by a carrier, payment processor, regulator or court, if your account is unpaid, if your use poses a risk to the Service or others, or if we discontinue the Service. On termination your right to use the Hosted Relay ends, your keys and OAuth grants are revoked, and your phones are unpaired. Sections 4, 5, 8, 9 (as to amounts owed), 11, 13, 14, 15, 16, 19 and 20 survive termination.
18. Consumer law
Nothing in these Terms excludes, restricts or modifies any right or remedy you have under law that cannot lawfully be excluded, including under the New Zealand Consumer Guarantees Act 1993 and Fair Trading Act 1986, or equivalent consumer-protection law where you live. Where such a right applies, our liability is limited, where permitted, to re-supplying the service or refunding the fees paid for the affected period.
If you use the Service for the purposes of a business, you agree that the Consumer Guarantees Act 1993 does not apply, that you are not relying on any representation not set out in these Terms, and that sections 9 and 14D of the Fair Trading Act 1986 do not apply, as it is fair and reasonable that the parties are bound by this clause.
19. Governing law and disputes
These Terms are governed by the laws of New Zealand, without regard to conflict-of-law rules. You and we submit to the exclusive jurisdiction of the courts of New Zealand for any dispute arising out of or relating to the Service or these Terms, except that we may seek injunctive or equivalent relief in any jurisdiction to protect our rights or the Service.
Before starting any proceeding, you agree to contact us and try in good faith to resolve the matter informally for at least 30 days. Any claim must be brought within one year of the event giving rise to it, to the extent the law allows. To the extent permitted, claims may be brought only on an individual basis and not as a plaintiff or class member in any class, consolidated or representative proceeding.
20. General
- Entire agreement. These Terms, together with the pricing page and any notices we give under them, are the entire agreement between you and us about the Service and replace all earlier agreements, statements and understandings.
- Severability. If any provision is held unenforceable, it will be enforced to the maximum extent permitted and the rest of the Terms remain in effect.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign or transfer these Terms or your account. We may assign them in connection with a merger, acquisition, sale of assets or by operation of law.
- Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including network, carrier, hosting or power failures, attacks, natural events, pandemics, strikes, or acts of government.
- No agency. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship. We are not your agent in sending any message or making any call.
- Export and sanctions. You may not use the Service in breach of export-control or sanctions law, or if you are a sanctioned person.
- Notices. We may give notice by email to the address on your account or by posting on the dashboard or website. Notice to us must be sent to the contact in section 21.
- Headings and language. Headings are for convenience only. The English version of these Terms controls.
